1. 协议主体与适用范围
本《BD Seller 用户服务协议》(“本协议”)是您与 Wynie Holdings(“Wynie”“我们”或“平台”)之间就访问和使用 BD Seller 移动应用、相关网站、接口及商户服务(统称“服务”)订立的协议。
BD Seller 面向供应商、商户、品牌方及其获授权员工,用于管理企业资料、商品和店铺展示,处理采购方询价、订单、采购需求方案及业务沟通。您可能同时以个人账户持有人和所属企业、机构或其他商业组织(“所属企业”)的代表身份使用服务。您代表所属企业使用服务时,本协议同时约束您和所属企业。
我们的《BD Seller 隐私政策》说明个人信息处理方式,是使用服务的重要配套文件。具体交易中的报价、规格、交付、付款、售后、保密等事项,以交易双方另行确认的条件为准。
2. 商业用户资格与企业授权
本服务是非儿童导向的商业服务。您必须具备适用法律要求的相应民事行为能力和商业操作权限;如当地法律要求监护人同意,或您尚不能独立作出相关法律行为,您必须在取得监护人同意以及所属企业有效授权后使用服务。
代表所属企业注册、加入、验证、发布内容、报价、接受订单或管理其他成员,即表示您声明并保证:
- 您已取得充分、有效且持续的企业授权,能够进行相应操作并接受本协议;
- 您提供的企业名称、法定名称、税号、地址、联系方式、经营范围、许可证及授权链真实、准确、最新;
- 您的操作符合所属企业的内部政策、签字权限及适用法律;
- 授权变化、离职、停职或岗位调整时,您会立即停止超出权限的使用,并配合完成交接。
若您无权代表某企业,请勿创建或控制该企业租户,也不得以其名义作出商业承诺。我们可以要求合理的授权或身份佐证,但平台核验不构成对授权、信用或履约能力的保证。
3. 账户、邀请与安全
您应使用真实、可联系的信息注册,只为本人创建和使用个人账户,不得转让、出售、出租或共享个人登录凭据。通过短信一次性验证码、密码、已设置的 POS 登录 PIN、邀请链接、会话令牌以及经明确启用的 API 或 MCP 凭据完成的操作,可能被视为账户操作。
- 妥善保管密码、POS 登录 PIN、验证码、设备、会话和接口凭据,并使用合理的安全措施;
- 不得索取、截取或使用他人的验证码或凭据;
- 发现未经授权访问、设备丢失、凭据泄露或异常操作时,应立即重置凭据、通知企业管理员并联系我们;
- 确保手机号、邮箱及其他恢复渠道保持有效;
- 对您在授权范围内发起的操作负责,但适用法律另有规定或安全事件并非由您导致的除外。
企业邀请不应被转发给无关人员。管理员应及时撤销不再需要的邀请和访问权限。我们可采用验证码、风险识别、登录日志、速率限制及其他合理措施保护账户。
4. 租户、角色与管理员权限
“租户”是服务内代表所属企业的独立工作空间。租户管理员可以在服务功能允许范围内邀请或移除成员、分配角色、配置访问权限、查看企业活动、管理店铺与企业资产、指定继任管理员以及向我们发出企业层面的服务指令。
管理员提示:角色权限应遵循最小必要原则。管理员不得利用权限查看或使用与工作无关的个人内容,不得规避适用的劳动、隐私、数据保护或通信保密规则。
您理解所属企业对其工作空间和企业数据拥有管理权限,可能能够访问、导出、纠正、限制或删除您在工作职责中创建的信息,并在您离职后保留相应企业资产。我们通常依据可验证的现任管理员指令处理租户事项;对所有权或管理权存在争议时,我们可暂时冻结高风险变更,并要求公司文件、授权书或其他合理证明。
所属企业应持续维护至少一名有效管理员。管理员无法履职时,企业可通过支持渠道申请管理权移交。我们会基于安全和数据保护需要进行验证,但不负责裁判企业内部的股权、劳动或授权纠纷。
5. 企业认证与经营资质
您和所属企业应根据经营地、商品目的地及所涉行业的法律,取得并持续保持必要的营业登记、许可证、认证、税务资质、进出口许可、品牌授权和产品合规文件。上传营业执照、证书、图片或 PDF 时,您保证有权提供,文件未被伪造、篡改、冒用或误导性呈现。
平台可能根据风险、投诉、监管要求或服务规则要求补充、更新或重新验证资料,并可标注资料的提交、审核或到期状态。平台展示“已验证”仅表示我们依既定流程完成了有限核验,不构成政府认证,也不保证企业信用、产品质量、法定合规或履约结果。
资质过期、被撤销、经营范围变化或关键信息不再准确时,您应及时更新并停止开展需要该资质的活动。
6. 商品、店铺与内容
您可在授权范围内创建和管理企业介绍、Logo、店铺图片或视频、商品名称、条码、规格、价格、品牌、类目、库存及其他商业信息(“商户内容”)。您和所属企业对商户内容的真实性、合法性、完整性和及时性负责。
商户内容不得:
- 侵犯他人的商标、著作权、专利、商业秘密、肖像、隐私或其他权利;
- 虚构产地、成分、性能、价格、库存、认证、折扣、交付能力或客户评价;
- 包含违法、危险、受制裁、被召回、假冒伪劣或平台规则禁止的商品;
- 包含恶意代码、隐蔽追踪、未经授权的个人信息或不必要的敏感信息;
- 以歧视、骚扰、欺诈或不正当竞争方式招揽交易。
价格和库存展示可能因币种、税费、物流、最小起订量或更新时间而变化。您应在接受订单前向采购方清楚确认最终商业条件。
7. 询价、订单与交易
服务可帮助您接收和管理询价、采购需求、订单,提交报价或需求方案,记录评论和内部备注,并与采购方协调履约。除页面明确另有说明外,询价、意向、草稿或系统状态本身不必然构成有法律约束力的合同;合同成立时点取决于双方确认内容及适用法律。
作为卖方或供应商,所属企业负责:
- 商品合法性、安全、质量、标签、包装、认证、出口管制及目的地合规;
- 报价、税费、付款方式、交货期、运输、保险、验收、退换、保修及售后的准确说明和履行;
- 依法开具发票、缴纳税款并保存交易记录;
- 及时告知缺货、延迟、召回或其他重大履约风险;
- 处理与采购方之间的质量、付款、物流及商业争议。
截至本协议生效日,BD Seller 不提供应用内支付结算,也不使用 Apple 应用内购买处理实物 B2B 交易。交易双方应使用其合法约定的付款渠道并自行评估支付风险。服务内的订单、金额或付款状态记录不等同于平台收款、托管、担保或放款。
8. 客户资料、沟通与文件
您可能接触采购方昵称、头像、展示媒体、询价、订单、需求统计以及经授权交易所需的收货联系人、电话和地址。您只能为响应询价、促成或履行交易、客户服务、合规和合理业务管理等明确合法目的使用这些信息,不得将其另售、用于无关营销、建立未经允许的画像或骚扰联系人。
通过聊天发送的文本、图片、视频和文件,以及需求方案、评论、内部备注等,应保持专业、准确并符合保密要求。发送者应确认文件不含恶意代码,且有权披露其中的个人信息、商业秘密和知识产权。内部备注仅应向有工作需要的授权成员开放,不得用于歧视、诽谤或规避个人权利。
除非依法获得有效依据,您不得上传身份证件、支付凭据、健康信息、生物识别信息或其他与交易无关的敏感个人信息。若客户要求停止非必要营销,您应尊重其选择。
9. 企业数据、保密与交接
在不影响个人依法享有权利的前提下,由成员在履行职务过程中创建或管理的商品、报价、需求方案、交易、店铺、客户沟通、聊天记录及业务文件,通常作为所属企业的企业资产管理。具体所有权由所属企业与成员之间的合同、知识产权制度及适用法律决定;本协议不替代该等安排。
您应对未公开的价格、客户清单、商业计划、技术文件、交易条件、账户信息及其他保密资料采取合理保护措施,仅向有知悉需要且受适当义务约束的人员披露。法定披露确有必要时,应在法律允许范围内提前通知资料所有方并限制披露范围。
岗位变化、离职或管理员更换前,企业与成员应:
- 指定接收人并移交正在处理的询价、订单、客户沟通和关键文件;
- 轮换共享密钥、接口凭据及恢复渠道,不通过聊天明文传送密码;
- 按权限导出企业依法有权保留的数据,并安全处置本地副本;
- 及时撤销离职人员的角色、会话和设备访问。
10. 可接受使用规则
您不得自行或协助他人:
- 从事欺诈、洗钱、商业贿赂、规避制裁、侵犯消费者或竞争秩序的活动;
- 冒充他人或企业,伪造授权、交易、评价、资质或系统状态;
- 骚扰、威胁、仇恨表达、发送垃圾信息或未经请求的大规模营销;
- 未经允许抓取、批量导出、爬取、出售或重新识别平台或他人数据;
- 绕过访问控制、测试非本人系统漏洞、反向工程、干扰服务、传播恶意程序或实施拒绝服务攻击,但适用法律不可排除的互操作或安全研究权利除外;
- 利用自动化接口超出文档、授权或合理速率限制;
- 通过平台经营或宣传法律、监管要求或平台规则禁止的商品和服务。
您可使用应用内聊天屏蔽工具限制与特定用户的互动,并通过本协议下方的支持邮箱举报违法商品、侵权、欺诈、骚扰或安全问题。举报不得被恶意用于打压竞争者。
11. 平台角色与第三方
BD Seller 提供 B2B 信息展示、匹配、沟通和业务管理工具。除非在具体页面以书面方式明确说明,Wynie 不是商品卖方、采购方、制造商、进口商、承运人、保险人、支付服务商或交易代理,不取得商品所有权,也不接收交易货款。
平台无法控制并不保证任何用户的身份、信用、报价、商品、库存、合法性、履约能力或通信真实性。企业应自行开展与风险相称的尽职调查、样品检验、合同审查、制裁筛查、支付和物流安排。
服务可能使您与采购方、物流商或其他独立第三方互动。其商品、服务、条款和个人信息处理由相应第三方负责。我们不会仅因提供技术连接而成为第三方合同一方。
12. 个人离职、注销与租户关停
12.1 个人离职或注销
您可通过应用内账户设置发起个人账户注销;如因安全或访问原因无法操作,可联系支持。注销前应完成企业工作交接。管理员也可移除成员访问权限。
个人注销会终止您的个人登录和后续访问。个人用户名、手机号、邮箱、密码、已设置的 POS 登录 PIN、个人资料、接口凭据及可识别登录记录将按照隐私政策删除或匿名化。为避免破坏企业业务连续性,您履职期间形成的商品、报价、需求方案、聊天、店铺和交易记录可作为企业资产继续由所属企业管理,历史创建者标识会在合理可行范围内匿名化或替换为非个人化标识。
12.2 管理员移交
唯一管理员拟离职或注销时,应先指定符合条件的继任管理员。无可用管理员的,企业可联系我们并提交授权证明。为保护企业和个人信息,我们可在核验期间限制导出、删除、凭据重置等高风险操作。
12.3 企业停业或租户关停
企业决定停止使用服务时,应由获授权管理员提出关停请求,并在可用功能和合理期限内完成必要导出。租户关停后,数据可能进入访问受限的归档状态,以处理合同、交易、审计、法定义务、安全及争议。上述目的结束后,我们将依适用政策删除或匿名化;我们不承诺关停瞬间从所有活动系统和循环备份中完成物理删除。
企业解散、破产、管理权争议或监管要求可能影响数据处置。我们将基于可验证指令、适用法律及相关权利人的合法权益采取合理措施。
13. 知识产权与授权
服务的软件、界面、设计、商标、文档及由我们提供的内容受知识产权法律保护。除本协议授予的有限使用权外,我们及许可方保留相应权利。您不得删除权利标识,或未经许可使用 Wynie、BD Seller 或相关标识暗示认可或关联。
您和所属企业保留对商户内容依法享有的权利。为运行、保护、改进和展示服务,您代表相应权利人授予我们一项非独占、全球范围、免许可费、可由基础设施和服务供应商代为处理的许可,在服务存续及为完成合法保留所必要期间,对商户内容进行托管、复制、格式转换、传输、展示和技术处理。该许可仅限于提供服务、执行指令、保障安全及履行法律义务,不授权我们将您的商户内容独立出售。
向我们提交自愿反馈,即表示允许我们在不披露您的保密信息或个人信息的情况下使用反馈改进服务,无需支付报酬。
14. 审核、限制与终止
我们可依据适用法律、可信举报、权利人通知、安全风险和平台规则,对资质、商品、公开内容、账户活动及必要范围内的通信进行人工或技术审核。审核应遵循必要性和比例原则。
如有合理理由认为存在违法、侵权、欺诈、严重安全风险、无权访问、反复违约或对他人造成现实损害,我们可采取警告、要求整改、降低可见度、移除内容、限制功能、暂停账户或终止服务等措施。紧急情况下可先行处置;其他情况下我们会在合理可行范围内说明主要理由并提供申诉或补充材料渠道。
您可停止使用服务。终止不影响终止前已产生的付款、交付、保密、知识产权、数据保留、责任或争议解决义务。所属企业仍应妥善完成在途交易。
15. 服务变更与可用性
我们会努力以合理的专业谨慎提供服务,但互联网、设备、第三方网络、维护、安全事件和不可抗力可能导致中断、延迟或错误。我们不承诺服务永久不间断或任何功能永不变化。
我们可能为安全、法律、性能或产品发展而增加、调整或停止功能。对显著影响核心用途或企业数据访问的重大变更,我们会在合理可行范围内提前通知,并在适用情况下提供过渡或导出安排。紧急安全修复和依法立即执行的变更可能无法提前通知。
所属企业应保留业务连续性方案和依法需要的独立交易记录,不应将服务作为唯一的凭证、备份或紧急通信渠道。
16. 责任边界
在适用法律允许范围内,服务按现状和可用状态提供。我们不对交易对手、商品、第三方服务或用户内容作未明确写入本协议的保证。本条不排除因适用法律而不可排除的法定保证或权利。
各方对其违反本协议、适用法律或侵害他人权利的行为承担责任。Wynie 对因其未尽合理谨慎或违反本协议直接造成且可合理预见的损失承担适用法律规定的责任。对于由交易方履约、用户错误数据、未经授权的账户共享、企业内部权限配置或超出我们合理控制的事件所导致的损失,我们仅在依法应由我们负责的范围内承担责任。
任何责任排除或限制均不适用于欺诈、故意不当行为、重大过失、人身伤害、违反保密或数据保护义务,或其他依法不得排除或限制的责任。您所在地不可通过合同放弃的权利始终保留。
17. Apple App Store 条款
如您通过 Apple App Store 获取 BD Seller,Apple 的标准许可应用最终用户许可协议(“Apple 标准 EULA”)适用于应用以及通过应用访问的内容、材料和服务。本协议补充规范平台账户、B2B 交易及企业使用规则,并不得与 Apple 标准 EULA 相冲突;二者均始终以适用的强制性法律为准。
- Wynie 而非 Apple 是本协议及服务的责任主体;Apple 不是本协议的当事方。
- 应用仅可依 Apple 标准 EULA 和适用的 App Store Usage Rules 使用。
- 在适用法律要求的范围内,Wynie 负责应用和服务的维护、支持及相关合法主张;Apple 不承担本服务协议项下的此等义务。
- 本协议不修改、替代或削减 Apple 标准 EULA。

18. 协议变更与通知
我们可能因法律、监管、服务功能或业务模式变化更新本协议。更新版本会注明版本号、生效日期和主要变化,并通过应用内通知、相关网页、电子邮件或其他合理方式告知。法律要求提前通知或单独同意的,我们将遵守相应要求。
对您或所属企业权利义务有重大不利影响的变更,不会在无合理通知的情况下追溯适用。变更生效后继续使用服务表示您接受更新内容;如适用法律要求明确同意,我们会另行取得。若不同意,可在生效日前停止使用、安排企业交接并发起账户注销或租户关停。
我们将按适用法律要求提供现行文本的便捷查阅、下载或保存,并在需要时保存和提供历史版本。
19. 适用法律与争议解决
在不剥夺您或所属企业根据适用强制性法律享有的保护、救济和管辖权的前提下,本协议受瑞士实体法管辖,不适用其法律冲突规则。
争议发生后,请先通过下方联系方式与我们沟通,我们将本着善意尝试解决。协商未果的,在适用法律允许范围内,由瑞士日内瓦州有管辖权的法院审理。若您所在地、数据主体所在地或交易相关法律强制规定其他法院、行政机关、仲裁或投诉渠道,本条不限制该等权利。
本协议不适用《联合国国际货物销售合同公约》;但此项排除不决定平台用户之间货物销售合同是否适用该公约。
20. 其他条款与联系方式
未经我们书面同意,您不得转让个人账户或本协议;所属企业的合并、重组或业务承继应依法完成授权和管理员变更。我们可在不降低您法定权利的前提下,将本协议转让给承继服务的关联方或合法受让人,并依法通知。
某条款被认定无效或不可执行时,其余条款继续有效,无效部分应在法律允许范围内按最接近原目的的方式解释。我们未立即执行某项权利不构成放弃。标题仅为阅读便利。
中英文版本旨在具有相同含义。如出现解释差异,应结合协议目的及适用的强制性法律作一致解释,不因此排除任何法定保护。
Important: Please read this Agreement in full, particularly if you create or manage a tenant on behalf of an organization. Terms concerning organizational authority, account administration, business information, allocation of responsibility, service restrictions, and dispute resolution may materially affect you and your organization. This Agreement does not replace any sales, purchasing, confidentiality, or other commercial contract between trading parties.
1. Parties and scope
This BD Seller User Service Agreement (the “Agreement”) is between you and Wynie Holdings (“Wynie,” “we,” or the “platform”) and governs access to and use of the BD Seller mobile application, related websites, interfaces, and merchant services (collectively, the “Service”).
BD Seller is for suppliers, merchants, brand owners, and their authorized personnel to manage organization profiles, products and storefront displays, buyer inquiries, orders, sourcing proposals, and business communications. You may use the Service both as an individual account holder and as a representative of your company, institution, or other business organization (your “Organization”). When you act for an Organization, this Agreement binds both you and that Organization.
Our BD Seller Privacy Policy explains how personal information is handled and is an important companion document. The quotation, specifications, delivery, payment, after-sales service, confidentiality, and other conditions of a particular transaction are governed by the terms separately agreed between the trading parties.
2. Business eligibility and organizational authority
The Service is a commercial service and is not directed to children. You must have the legal capacity required by applicable law and appropriate business authority. If local law requires guardian consent, or if you cannot independently undertake the relevant legal act, you may use the Service only with both guardian consent and valid authorization from your Organization.
By registering, joining, verifying, publishing, quoting, accepting orders, or managing members for an Organization, you represent and warrant that:
- you have sufficient, valid, and continuing authority to take the relevant actions and accept this Agreement;
- the business name, legal name, tax number, address, contact information, business scope, licenses, and chain of authority you provide are authentic, accurate, and current;
- your actions comply with internal policies, signing authority, and applicable law; and
- when your authority changes, or you leave, are suspended, or change roles, you will immediately stop any use outside your authority and cooperate with handover.
If you lack authority to represent an organization, do not create or control its tenant or make commitments in its name. We may request reasonable evidence of authority or identity, but platform verification is not a guarantee of authority, creditworthiness, or performance.
3. Accounts, invitations, and security
You must register with authentic, reachable information, create and use an individual account only for yourself, and never transfer, sell, rent, or share personal sign-in credentials. Actions completed with an SMS one-time code, password, a configured POS sign-in PIN, invitation link, session token, or expressly enabled API or MCP credential may be treated as account actions.
- Protect passwords, POS sign-in PINs, codes, devices, sessions, and interface credentials with reasonable safeguards.
- Do not request, intercept, or use another person’s code or credential.
- If you identify unauthorized access, device loss, credential exposure, or abnormal activity, reset credentials, notify your administrator, and contact us promptly.
- Keep your phone number, email address, and other recovery channels current.
- You are responsible for actions you initiate within your authority, except where applicable law provides otherwise or a security incident was not caused by you.
Organization invitations must not be forwarded to unrelated people. Administrators should revoke unneeded invitations and access promptly. We may use verification codes, risk detection, login logs, rate limits, and other reasonable measures to protect accounts.
4. Tenants, roles, and administrators
A “tenant” is the separate workspace representing an Organization within the Service. To the extent supported by the Service, tenant administrators can invite and remove members, assign roles, configure access, review enterprise activity, manage storefront and enterprise assets, designate successor administrators, and issue organization-level instructions to us.
For administrators: Apply least-privilege access. Administrative rights must not be used to inspect or use personal content unrelated to work, or to circumvent applicable employment, privacy, data protection, or communications-confidentiality rules.
You understand that your Organization controls its workspace and enterprise data and may be able to access, export, correct, restrict, or delete information you create in your work, and retain relevant enterprise assets after you leave. We generally act on instructions from a verifiable current administrator. If ownership or authority is disputed, we may temporarily freeze high-risk changes and request corporate records, powers of attorney, or other reasonable evidence.
The Organization should continuously maintain at least one active administrator. If no administrator can act, the Organization may request an administrative handover through support. We will verify the request for security and data protection purposes, but we do not adjudicate internal ownership, employment, or authority disputes.
5. Business verification and qualifications
You and your Organization must obtain and maintain all registrations, licenses, certifications, tax qualifications, import or export permissions, brand authorizations, and product-compliance documents required in the place of business, product destination, and relevant industry. When uploading a business license, certificate, image, or PDF, you confirm that you may provide it and that it is not forged, altered, misappropriated, or misleadingly presented.
Based on risk, complaints, regulatory requirements, or platform rules, we may request supplemental, updated, or renewed verification and show whether material has been submitted, reviewed, or has expired. A platform “verified” status means only that a limited review under our process was completed. It is not a government certification or a guarantee of creditworthiness, product quality, legal compliance, or performance.
If a qualification expires or is withdrawn, the business scope changes, or key information becomes inaccurate, you must update it promptly and stop activities that require that qualification.
6. Products, storefronts, and content
Within your authority, you may create and manage an Organization description, logo, storefront images or videos, product names, barcodes, specifications, prices, brands, categories, inventory, and other commercial information (“Merchant Content”). You and your Organization are responsible for Merchant Content being authentic, lawful, complete, and current.
Merchant Content must not:
- infringe trademarks, copyright, patents, trade secrets, publicity, privacy, or other rights;
- misrepresent origin, ingredients, performance, price, inventory, certification, discounts, delivery capability, or customer reviews;
- feature unlawful, dangerous, sanctioned, recalled, counterfeit, substandard, or platform-prohibited products;
- contain malicious code, covert tracking, unauthorized personal information, or unnecessary sensitive information; or
- solicit business through discrimination, harassment, fraud, or unfair competition.
Displayed prices and inventory may vary with currency, tax, logistics, minimum-order quantity, or update timing. You must clearly confirm final commercial terms with the buyer before accepting an order.
7. Inquiries, orders, and transactions
The Service may help you receive and manage inquiries, sourcing requests, and orders; submit quotations or proposals; record comments and internal notes; and coordinate performance with buyers. Unless a screen expressly states otherwise, an inquiry, expression of interest, draft, or system status does not necessarily form a binding contract. Contract formation depends on what the parties confirm and applicable law.
As seller or supplier, the Organization is responsible for:
- product legality, safety, quality, labeling, packaging, certification, export controls, and destination compliance;
- accurately stating and performing quotations, taxes, payment methods, lead times, shipping, insurance, inspection, returns, warranties, and after-sales service;
- issuing invoices, paying taxes, and retaining transaction records as required by law;
- promptly disclosing stock shortages, delays, recalls, and other material performance risks; and
- handling quality, payment, logistics, and commercial disputes with buyers.
As of the effective date, BD Seller does not provide in-app payment settlement and does not use Apple In-App Purchase for physical B2B transactions. Trading parties must use lawfully agreed payment channels and assess payment risk. An order, amount, or payment status recorded in the Service does not mean the platform receives, escrows, guarantees, or finances payment.
8. Customer data, communications, and files
You may receive buyer nicknames, avatars, display media, inquiry, order, and sourcing statistics, and, for an authorized transaction, recipient names, phone numbers, and delivery addresses. Use this information only for specific lawful purposes such as responding to an inquiry, forming or performing a transaction, customer service, compliance, and reasonable business administration. Do not resell it, use it for unrelated marketing or unauthorized profiling, or harass contacts.
Chat text, images, videos, and files, along with proposals, comments, and internal notes, must remain professional, accurate, and consistent with confidentiality duties. Senders must ensure that files contain no malicious code and that they may disclose included personal information, trade secrets, and intellectual property. Internal notes should be available only to members with a work need and must not be used for discrimination, defamation, or evasion of individual rights.
Unless you have a valid legal basis, do not upload identity documents, payment credentials, health information, biometric information, or other sensitive personal information unrelated to a transaction. Respect a customer’s request to stop non-essential marketing.
9. Enterprise data, confidentiality, and handover
Without limiting individual rights under law, products, quotations, proposals, transactions, storefront materials, customer communications, chats, and business files created or managed by members in the course of their work are generally administered as assets of the Organization. Ownership is determined by the agreements between the Organization and its members, intellectual-property rules, and applicable law; this Agreement does not replace those arrangements.
You must reasonably protect non-public pricing, customer lists, business plans, technical files, transaction terms, account information, and other confidential material, and disclose it only to people with a need to know who are subject to appropriate obligations. Where disclosure is legally required, notify the owner in advance where lawful and limit the disclosure.
Before a role change, departure, or administrator replacement, the Organization and member should:
- designate a recipient and hand over active inquiries, orders, customer communications, and critical files;
- rotate shared secrets, interface credentials, and recovery channels, and never send passwords in plain text through chat;
- use available permissions to export enterprise data the Organization may lawfully retain, then securely dispose of local copies; and
- revoke the departing person’s roles, sessions, and device access promptly.
10. Acceptable use
You must not, directly or by helping others:
- engage in fraud, money laundering, commercial bribery, sanctions evasion, or violations of consumer or competition rules;
- impersonate a person or organization or falsify authority, transactions, reviews, qualifications, or system status;
- harass, threaten, express hate, send spam, or conduct unsolicited mass marketing;
- scrape, bulk export, crawl, sell, or re-identify platform or third-party data without permission;
- bypass access controls, test systems you do not own for vulnerabilities, reverse engineer, disrupt the Service, distribute malware, or conduct a denial-of-service attack, except for interoperability or security-research rights that cannot lawfully be excluded;
- use an automated interface outside its documentation, authorization, or reasonable rate limits; or
- offer or promote goods or services prohibited by law, regulation, or platform rules.
You may use the in-app chat blocking tool to limit interaction with a particular user and report unlawful products, infringement, fraud, harassment, or security problems through the support email below. Reports must not be misused to suppress competitors.
11. Platform role and third parties
BD Seller supplies B2B display, matching, communications, and business-management tools. Unless expressly stated in writing on a particular screen, Wynie is not the seller, buyer, manufacturer, importer, carrier, insurer, payment provider, or transaction agent; it does not take title to goods or receive transaction funds.
The platform cannot control and does not guarantee any user’s identity, creditworthiness, quotation, goods, inventory, legality, performance, or communications. Organizations should conduct risk-appropriate diligence, sample inspection, contract review, sanctions screening, and payment and logistics arrangements.
The Service may enable interaction with buyers, logistics providers, or other independent third parties. Those parties are responsible for their goods, services, terms, and personal-information practices. Providing a technical connection does not by itself make us a party to a third-party contract.
12. Departure, deletion, and tenant closure
12.1 Individual departure or account deletion
You may request deletion through the in-app account settings. If security or access issues prevent this, contact support. Complete an enterprise handover before deletion. An administrator may also remove member access.
Deletion ends your personal sign-in and future access. Your username, phone number, email, password, configured POS sign-in PIN, personal profile, interface credentials, and identifiable login records will be deleted or anonymized as described in the Privacy Policy. To preserve legitimate business continuity, products, quotations, proposals, chats, storefront material, and transaction records created in your role may remain under Organization administration as enterprise assets; historical author identifiers will be anonymized or replaced with a non-personal label where reasonably feasible.
12.2 Administrator handover
A sole administrator planning to leave or delete an account should first appoint an eligible successor. If no administrator is available, the Organization may contact us with evidence of authority. To protect the Organization and personal information, we may restrict high-risk operations such as exports, deletion, and credential resets during verification.
12.3 Business cessation or tenant closure
An authorized administrator should request tenant closure and complete necessary exports using available functions and within a reasonable period. After closure, data may enter a restricted archive for contractual, transaction, audit, legal-obligation, security, and dispute purposes. When those purposes end, we will delete or anonymize the data under applicable policies. We do not promise instantaneous physical deletion from every active system and rotating backup at the moment of closure.
Dissolution, insolvency, disputed control, or regulatory requirements may affect data disposition. We will take reasonable measures based on verifiable instructions, applicable law, and the legitimate interests of relevant rights holders.
13. Intellectual property and licenses
The Service software, interfaces, designs, marks, documentation, and Wynie-provided content are protected by intellectual-property laws. We and our licensors retain all rights except the limited right to use the Service under this Agreement. You must not remove rights notices or use Wynie, BD Seller, or related marks to imply endorsement or affiliation without permission.
You and your Organization retain rights you lawfully hold in Merchant Content. To operate, protect, improve, and display the Service, you grant on behalf of the relevant rights holder a non-exclusive, worldwide, royalty-free license, sublicensable to infrastructure and service providers, to host, copy, reformat, transmit, display, and technically process Merchant Content while the Service operates and for any period of lawful retention. The license is limited to providing the Service, carrying out instructions, maintaining security, and meeting legal obligations; it does not permit us to sell your Merchant Content independently.
If you voluntarily submit feedback, you allow us to use it to improve the Service without compensation, provided we do not disclose your confidential or personal information.
14. Review, restriction, and termination
Based on applicable law, credible reports, rights-holder notices, security risks, and platform rules, we may use human or technical review for qualifications, products, public content, account activity, and communications to the extent necessary. Review should follow necessity and proportionality.
Where we reasonably believe there is illegality, infringement, fraud, a serious security risk, unauthorized access, repeated breach, or actual harm to others, we may warn, request correction, reduce visibility, remove content, limit functions, suspend an account, or terminate the Service. We may act first in an emergency; otherwise, where reasonably feasible, we will provide the principal reason and a channel to appeal or submit supporting material.
You may stop using the Service. Termination does not affect obligations concerning payment, delivery, confidentiality, intellectual property, data retention, liability, or disputes that arose before termination. The Organization remains responsible for orderly completion of in-progress transactions.
15. Service changes and availability
We aim to provide the Service with reasonable professional care, but the internet, devices, third-party networks, maintenance, security incidents, and force-majeure events may cause interruption, delay, or error. We do not promise uninterrupted service or that every function will remain unchanged forever.
We may add, adjust, or discontinue functions for security, legal, performance, or product-development reasons. For a material change that significantly affects core use or access to enterprise data, we will give reasonable advance notice where feasible and, where appropriate, provide transition or export arrangements. Emergency security fixes and changes that law requires immediately may not allow advance notice.
The Organization should maintain business-continuity arrangements and independent transaction records where required by law and should not use the Service as its only evidence, backup, or emergency communication channel.
16. Allocation of responsibility
To the extent permitted by applicable law, the Service is provided as available. We do not give warranties about counterparties, goods, third-party services, or user content beyond those expressly stated in this Agreement. This does not exclude any statutory warranty or right that applicable law does not allow to be excluded.
Each party is responsible for its breach of this Agreement or applicable law and its infringement of another’s rights. Wynie is responsible as required by applicable law for direct, reasonably foreseeable loss caused by its failure to use reasonable care or its breach of this Agreement. For loss resulting from a trading party’s performance, incorrect user data, unauthorized account sharing, internal Organization access configuration, or events beyond our reasonable control, we are responsible only to the extent the law assigns responsibility to us.
No exclusion or limitation applies to fraud, willful misconduct, gross negligence, personal injury, breach of confidentiality or data-protection duties, or other liability that cannot lawfully be excluded or limited. Non-waivable rights where you are located remain fully preserved.
17. Apple App Store terms
If you obtained BD Seller through the Apple App Store, Apple’s Standard Licensed Application End User License Agreement (the “Apple Standard EULA”) applies to the application and content, materials, and services accessible through it. This Agreement supplements it with rules for platform accounts, B2B transactions, and enterprise use and must not conflict with the Apple Standard EULA; both remain subject to mandatory applicable law.
- Wynie, not Apple, is responsible for this Agreement and the Service; Apple is not a party to this Agreement.
- The application may be used only under the Apple Standard EULA and applicable App Store Usage Rules.
- To the extent required by applicable law, Wynie is responsible for maintenance, support, and relevant lawful claims concerning the application and Service; Apple has no such obligation under this service Agreement.
- This Agreement does not amend, replace, or reduce the Apple Standard EULA.

18. Changes and notices
We may update this Agreement for changes in law, regulation, Service features, or business model. An update will identify its version, effective date, and material changes, and we will notify you through an in-app message, the relevant web page, email, or another reasonable method. Where law requires advance notice or separate consent, we will comply.
A change materially adverse to you or your Organization will not apply retroactively without reasonable notice. Continued use after the effective date means acceptance, except where law requires express consent, which we will request separately. If you disagree, stop using the Service before the change takes effect, arrange enterprise handover, and request account deletion or tenant closure.
We will make the current text reasonably accessible for review, download, or saving and preserve and provide historical versions where applicable law requires.
19. Law and disputes
Without depriving you or your Organization of protections, remedies, or jurisdiction under mandatory applicable law, this Agreement is governed by the substantive laws of Switzerland, without regard to conflict-of-law rules.
If a dispute arises, contact us first using the details below so the parties can attempt a good-faith resolution. If unresolved, the competent courts of the Canton of Geneva, Switzerland have jurisdiction to the extent applicable law permits. If the law where you or a data subject is located, or law governing a transaction, mandates another court, authority, arbitration, or complaint channel, this clause does not restrict it.
The United Nations Convention on Contracts for the International Sale of Goods does not govern this Agreement. This exclusion does not determine whether that Convention governs a goods-sale contract between platform users.
20. General terms and contact
You may not assign your personal account or this Agreement without our written consent. An Organization merger, reorganization, or business succession must include lawful authorization and administrator changes. We may assign this Agreement to an affiliate or lawful successor operating the Service, without reducing statutory rights and with notice as required by law.
If a term is held invalid or unenforceable, the remaining terms remain effective, and the affected term will be interpreted as closely as lawful to its original purpose. Failure to enforce a right immediately is not a waiver. Headings are for convenience only.
The Chinese and English versions are intended to have the same meaning. Any interpretive difference should be resolved consistently with the Agreement’s purpose and mandatory applicable law, without excluding any statutory protection.
